Please read these Terms of Use (“Terms”) carefully before using the Owlfiles application (the “Service”) operated by Skyjos Ltd. (“we”, “us”, or “our”). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
Subscriptions
Some parts of the Service are billed on a subscription basis (“Subscriptions”). You will be billed in advance on a recurring and periodic basis (a “Billing Cycle”). Billing cycles are monthly or annual, depending on the subscription plan you select. At the end of each Billing Cycle, your Subscription automatically renews under the same conditions unless you or Skyjos Ltd. cancels it.
You may cancel a Subscription renewal through your online account management page. A valid payment method, including a credit card, is required to process Subscription payments. You must provide Skyjos Ltd. with accurate and complete billing information, including your full name, address, state, zip code, telephone number, and valid payment method information. By submitting payment information, you authorize Skyjos Ltd. to charge Subscription fees incurred through your account to that payment method.
Free Trial
Skyjos Ltd. may, at its sole discretion, offer a Subscription with a free trial for a limited period (a “Free Trial”). You may be required to enter billing information to sign up. If you do, Skyjos Ltd. will not charge you until the Free Trial expires. On the final day of the Free Trial, unless you cancel your Subscription, you will automatically be charged the applicable Subscription fees for the selected plan.
Skyjos Ltd. may modify the terms and conditions of a Free Trial or cancel it at any time without notice.
Fee changes
Skyjos Ltd. may modify Subscription fees at any time. Any fee change takes effect at the end of the current Billing Cycle. Skyjos Ltd. will provide reasonable prior notice so you can terminate your Subscription before the change takes effect. Continued use of the Service after a fee change takes effect constitutes your agreement to pay the modified fee.
Refunds
Except where required by law, paid Subscription fees are non-refundable.
Accounts
When you create an account, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.
You are responsible for safeguarding the password used to access the Service and for all activities or actions under that password, whether it is used with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately if you become aware of a security breach or unauthorized use of your account.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Skyjos Ltd. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent from Skyjos Ltd.
Links to other services
The Service may contain links to third-party websites or services that are not owned or controlled by Skyjos Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of third-party websites or services. Skyjos Ltd. is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by use of or reliance on such content, goods, or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party website or service you visit.
Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately. If you wish to terminate your account, you may discontinue using the Service.
Limitation of liability
In no event will Skyjos Ltd., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- your access to, use of, or inability to access or use the Service;
- any conduct or content of a third party on the Service;
- any content obtained from the Service; or
- unauthorized access, use, or alteration of your transmissions or content.
This applies whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy is found to have failed of its essential purpose.
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Skyjos Ltd., its subsidiaries, affiliates, and licensors do not warrant that the Service will be uninterrupted, secure, or available at any particular time or location; that errors or defects will be corrected; that the Service is free of viruses or other harmful components; or that the results of using the Service will meet your requirements.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice before new terms take effect. What constitutes a material change is determined at our sole discretion. By continuing to access or use the Service after revisions take effect, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service.
